Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Bread&Barter (“we”, “our”, or “us”) and govern your access to and use of the Bread&Barter website, application, and related services (collectively, the “Service”). By creating an account, posting content, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract under the laws of your jurisdiction to use the Service. By using the Service you represent and warrant that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and current information when registering and to keep that information up to date. Notify us immediately at hello@breadxbarter.com if you suspect any unauthorised use of your account.

You may sign up using email and password or via supported third-party authentication providers (currently Google). By signing in with a third-party provider, you authorise us to access certain account information from that provider as described in our Privacy Policy.

3. The Service

Bread&Barter is a two-sided marketplace that connects brands and creators for collaborative arrangements (“collabs”) in which brands offer store credits (goods or services from the brand) in exchange for content or services from creators. Compensation on the platform is always in the form of store credits. No cash, currency, or other monetary value changes hands on or through the platform.

3.1 Our role

We provide the platform, listings, messaging, and proposal tools that enable users to find each other and agree on collabs. We are not a party to any collab, contract, or arrangement made between users. We do not employ creators, do not act as agent for brands, and do not warrant the quality, safety, legality, accuracy, or completeness of any user, listing, message, or proposal. Users are solely responsible for evaluating, negotiating, fulfilling, and resolving disputes related to their collabs.

3.2 Plans

  • Free plan— limited to 3 confirmed collabs per calendar month per account.
  • Pro plan— unlimited collabs at the price displayed on our Pricing page. Pro subscriptions are billed monthly via Stripe.

Plan limits apply equally to brands and creators. We reserve the right to change plan features, pricing, or limits with reasonable notice.

4. User Content

“User Content” means any content you submit, post, upload, or otherwise make available through the Service, including profile information, listings, images, messages, deal proposals, reviews, and completion-proof submissions.

4.1 Ownership and licence

You retain ownership of your User Content. By submitting it, you grant Bread&Barter a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, display, adapt (for resizing/format purposes only), and distribute your User Content as necessary to operate, promote, and improve the Service. This licence terminates when you delete the User Content, except (a) where we retain it to fulfil legal obligations or enforce these Terms, or (b) where third parties (e.g., other users) have copied it before deletion.

4.2 Your representations

You represent and warrant that:

  • you own or have all rights necessary to grant the licence in 4.1;
  • your User Content does not infringe any third party’s intellectual property, privacy, publicity, or other rights;
  • your User Content complies with these Terms and applicable law.

5. Acceptable use

You agree not to:

  • Post content that is unlawful, defamatory, obscene, hateful, harassing, deceptive, or that infringes any person’s rights.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Engage in spam, bulk messaging, or unsolicited promotional activity.
  • Attempt to circumvent quota systems, payment systems, rate limits, or other technical protections.
  • Use the Service to launder money, sell prohibited goods, or otherwise engage in illegal activity.
  • Reverse-engineer, decompile, disassemble, or extract source code from the Service.
  • Access the Service through automated means (scrapers, bots, crawlers) without our prior written consent.
  • Interfere with or disrupt the Service or its infrastructure, including by transmitting malware, exploits, or excessive load.
  • Attempt to access accounts, data, or systems you are not authorised to access.
  • Solicit personal information from minors or from other users for purposes outside the legitimate operation of collabs.
  • Use the Service to harvest data about other users for commercial or political purposes unrelated to a collab.

We reserve the right to investigate and take appropriate action — including content removal, account suspension, or termination — in response to suspected or actual violations.

6. Collabs

6.1 How a collab is formed

Brands publish listings describing the credits offered and the content or services requested. Creators apply and may receive a Deal Proposal from the brand. A collab is confirmed when both parties accept the Deal Proposal in chat. Creators may submit completion-proof messages once the collab has been delivered.

6.2 Disputes between users

Disputes between users — including allegations of unfulfilled deliverables, undelivered credits, or unsatisfactory work — are between the users involved. We may, in our sole discretion, assist with informal resolution or suspend accounts for verified breaches, but we are not obliged to mediate, arbitrate, or refund. You release Bread&Barter from any claims, demands, and damages arising out of or connected with any collab or dispute with another user.

6.3 Reviews

Reviews must reflect honest, first-hand experience. Reviews may not be used to extort, threaten, or coerce other users, and may not contain unlawful or abusive content. We may remove reviews that violate these Terms.

7. Subscriptions and billing

Pro subscriptions are sold and billed via Stripe. By subscribing, you authorise us (through Stripe) to charge the applicable fee to your selected payment method on a recurring monthly basis until cancelled.

You may cancel your Pro subscription at any time through the Customer Portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. Where you are a consumer entitled to mandatory statutory refund rights under applicable law, those rights still apply.

We may change the price of the Pro plan with at least 30 days’ notice to existing subscribers. If you do not agree to a price change, you may cancel before it takes effect.

8. Intellectual property

The Service, including its branding, design, software, and content created by us, is owned by Bread&Barter and protected by intellectual-property laws. Except for User Content (covered in section 4), nothing in these Terms grants you any right to our trade marks, logos, domain names, or other brand features.

9. Copyright complaints

If you believe content on the Service infringes your copyright, send a notice to hello@breadxbarter.com including:

  • your contact information;
  • a description of the copyrighted work you claim has been infringed;
  • the URL or precise location of the allegedly infringing content;
  • a statement that you have a good-faith belief that the use is unauthorised;
  • a statement under penalty of perjury that the information is accurate and that you are authorised to act on the rights-holder’s behalf;
  • your physical or electronic signature.

We will respond to valid notices in accordance with applicable law. We may terminate the accounts of repeat infringers.

10. Termination

You may delete your account at any time from your account settings or by contacting us. We may suspend or terminate your account, immediately and without prior notice, if we determine that you have violated these Terms, that your conduct poses a risk to us or other users, or as required by law.

On termination, your right to use the Service ends. Sections that by their nature should survive termination (including 4.1 final sentence, 5, 6.2, 8, 11, 12, 13, 14, and 16) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY USER, LISTING, OR COLLAB WILL MEET YOUR EXPECTATIONS.

WE MAKE NO WARRANTIES ABOUT THE CONDUCT, INTEGRITY, QUALIFICATIONS, OR IDENTITY OF ANY USER, OR THE ACCURACY OR TRUTHFULNESS OF ANY INFORMATION POSTED ON THE SERVICE. YOU INTERACT WITH OTHER USERS AT YOUR OWN RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREAD&BARTER AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) SGD 100.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, SUCH AS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, GROSS NEGLIGENCE, OR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bread&Barter and its officers, employees, agents, and affiliates from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms or any applicable law, or (d) any collab you enter into or any dispute with another user.

14. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts of Singapore, and you submit to the personal jurisdiction of those courts. Where you are a consumer entitled to mandatory protections of your local law, this clause does not override those protections.

15. Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify you by email or by prominent notice on the Service at least 14 days before the change takes effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and delete your account.

16. General

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign them to any successor in connection with a merger, acquisition, or sale of assets.

Notices. We may send notices by email to the address on your account or by posting on the Service. You can contact us at hello@breadxbarter.com.

Relationship. Nothing in these Terms creates an agency, partnership, employment, or joint-venture relationship between you and us.
